Starksoft Sierra End User License Agreement (EULA)

Version 1.0 - Effective Date: August 12, 2025

IMPORTANT - READ CAREFULLY

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Starksoft LLC ("Company", "We", "Us") for the use of Starksoft Sierra password management software ("Software").

BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

1. LICENSE GRANT

Individual Use License (Free)

  • Personal Use Only: You may use the Software for personal, non-commercial purposes at no cost.
  • Single User: License is granted to one individual user only.
  • No Distribution: You may not distribute, sublicense, or transfer this license to others.

Commercial Use License (Paid)

  • Commercial License Required: Any use in a business, commercial, or organizational environment requires a separate paid commercial license.
  • Contact Required: Contact enterprise@starksoft.com for commercial licensing terms.

2. RESTRICTIONS

You may NOT:

  • Reverse Engineer: Decompile, disassemble, or reverse engineer the Software
  • Modify: Alter, modify, or create derivative works of the Software
  • Commercial Use: Use the Software for commercial purposes without a commercial license
  • Redistribute: Distribute, sell, rent, lease, or sublicense the Software
  • Remove Notices: Remove or alter any copyright, trademark, or other proprietary notices

3. SECURITY AND PRIVACY

Data Protection

  • Local Storage Only: All data remains on your local device
  • No Cloud Storage: The Software does not transmit data to external servers
  • Hardware Security: Encryption requires compatible Yubikey 5 series hardware

User Responsibility

  • Yubikey Management: You are responsible for securing your Yubikey devices
  • Backup Responsibility: You are responsible for creating secure backups
  • PIN Security: You are responsible for maintaining PIN confidentiality

4. OWNERSHIP

The Software is licensed, not sold. Starksoft LLC retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks or service marks of Starksoft LLC.

5. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. STARKSOFT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL STARKSOFT LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY.

7. INDEMNIFICATION

You agree to indemnify and hold harmless Starksoft LLC from any claims, damages, losses, or expenses arising from your use of the Software or violation of this Agreement.

8. TERMINATION

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any terms. Upon termination, you must cease all use of the Software and destroy all copies.

9. EXPORT RESTRICTIONS

The Software may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and regulations in your use of the Software.

10. UPDATES AND MODIFICATIONS

Starksoft LLC may update this Agreement from time to time. Continued use of the Software after any such changes constitutes your acceptance of the new terms.

11. GOVERNING LAW

This Agreement is governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and Starksoft LLC regarding the Software and supersedes all prior agreements and understandings.

13. SEVERABILITY

If any provision of this Agreement is held to be unenforceable, the remaining provisions will remain in full force and effect.

15. ACKNOWLEDGMENT

By clicking "I Agree" or downloading the Software, you acknowledge that:

  1. You have read and understand this Agreement
  2. You agree to be bound by its terms and conditions
  3. You have the authority to enter into this Agreement
  4. You understand the risks associated with password management software
